ScholarshipPoints General Terms & Conditions
By registering and/or accessing this site you agree to the terms and conditions listed here.
- If you enter a Scholarship Points free college scholarship you agree that you are enrolled, or will be enrolled within the next 12 months, in a college or university in the United States or that you are enrolled for the upcoming school year.
- If you are not currently enrolled you agree that you are a high school, middle school or non-traditional student planning on enrolling in a college or university in the United States.
- You agree to let us use your name and testimonials to promote this site should you win a free scholarship.
- You agree that if you win, you will be required to provide a testimonial for this website as well as all required information for processing the check within 14 days of being notified. Your picture may be used if you agree, but use of a picture is not required by these terms.
- Free scholarships will be awarded to U.S. schools only. Winners must attend a college/university in the United States.
The Scholarship Points Service ("Scholarship Points Service") is owned by Edvisors Network, Inc. ("ENI"), a Massachusetts corporation, and operated by ENI or its third-party providers. The Scholarship Points Service is provided subject to compliance with the terms and conditions of this member agreement ("Member Agreement").
Please read this Member Agreement carefully before accessing or using the Scholarship Points Service. By accessing or using the Scholarship Points Service, you agree to be bound by the terms and conditions set forth below, as if you had actually signed them.
If you do not agree to the terms and conditions set forth below, you may not use the Scholarship Points Service. If you use the Scholarship Points Service, you acknowledge and agree that this Member Agreement is a legally binding contract between you and ENI. ENI may modify the terms and conditions in this Member Agreement as described below. You agree to review the Member Agreement often to familiarize yourself with such modifications.
By completing the registration process, you become an authorized user of the Scholarship Points Service (a "Member").
Section 1) Eligibility
- The Scholarship Points Service is limited to individuals only; corporations or other business entities may not become Members.
- The Scholarship Points Service is limited to one account per individual, even if individual has multiple e-mail addresses.
- Employees of Edvisors Network, Inc. and members of their household are not eligible to participate or permitted to redeem welcome gifts or Scholarship Points "Points" ("Scholarship Points "Points"").
- Automated services, scripts, or other machines are not eligible. Members using automated services, scripts, or other processes to participate in Scholarship Points surveys may have their accounts terminated at ENI's sole discretion.
- Member must be 18 years of age or older to be eligible to win a free college scholarship through the Scholarship Points Service.
- Member must be a legal resident of the United States, Puerto Rico or Canada to be eligible for the Scholarship Points Service.
NOTE: Currently, Scholarship Points is able to provide our Canadian members with only a limited number of opportunities to earn and redeem Scholarship Points.
Section 2) Member Registration Obligations
- Equipment. In order to access and use the Scholarship Points Service, Member needs computer equipment and telecommunications access necessary to connect to and access the World Wide Web. Member must provide, at Member's own expense, all equipment, all services (including, where applicable, telephone service) and all related third-party service fees such as ISP charges) necessary to access the Scholarship Points Service and any future enhancements or additional services.
- Registration Data. In consideration of use of the Scholarship Points Service, Member agrees to provide to ENI and its third-party partners true, accurate, current, and complete information as prompted by this Web site's online registration form (the "Registration Data") and agrees to maintain and promptly update the Registration Data as necessary in order to keep it true, accurate, current, and complete. If Member provides any information that is untrue, inaccurate, not current, or incomplete, ENI may suspend or terminate Member's account immediately and may refuse Member all current or future use of the Scholarship Points Service.
Section 3) Password & Account Access
- Member's Password & Account Access Rights & Responsibilities
- Member must select a password as part of the registration process.
- In order to prevent unauthorized activity, to access the Scholarship Points Service, Member must give the Scholarship Points Service their e-mail address and selected password in order to update Member profile information, update personal information (name, e-mail address, etc.) and redeem Scholarship Points "Points".
- For security purposes, Member is advised to memorize, and not to write down, his/her password.
- Member is responsible for keeping his/her e-mail address and password confidential, and is solely responsible for all activities that occur under Member's e-mail address and password, including all unauthorized activities.
- Member agrees to (a) immediately notify ENI of any unauthorized use of Member's e-mail address and password or any other breach of security related to this Web site or the Scholarship Points Service, and (b) ensure that Member logs out from Member's account at the end of each session.
- Member agrees to abide by all applicable local, state, federal, and international laws and regulations with respect to Member's account.
- ENI's Password & Account Access Rights & Responsibilities
- ENI will encrypt Member's password on the database.
- ENI is entitled to act on instructions received under Member's password and e-mail address.
- ENI cannot and will not be liable for any credits or debits made to Member's account by another individual who uses Member's password, or for any loss or damage arising from Member's failure to adequately safeguard Member's e-mail address and/or password.
Section 4) Value of The Scholarship Points "Points"
- Scholarship Points "Points" may not be redeemed for cash and have no cash value.
- Scholarship Points "Points" are not transferable:
- They may not be auctioned, traded, bartered or sold
- They are not transferable...
- ...upon death.
- ...by gift.
- ...as part of a domestic relations matter.
- ...or otherwise, except by operation of law.
- Scholarship Points Member accounts may not be merged under any circumstances.
- Scholarship Points Member accounts are not transferable...
- They may not be auctioned, traded, bartered or sold
- They are not transferable...
- ...upon death.
- ...by gift.
- ...as part of a domestic relations matter.
- ...or otherwise, except by operation of law.
Section 5) Earning Scholarship Points "Points"
- Member agrees to accept personalized information, offers and invitations to answer surveys from ENI or its third-party clients ("Clients") or its third-party sponsors ("Sponsors") via electronic mail and the Internet and direct (physical) mail.
- Members can earn Scholarship Points "Points" each time Member responds to an invitation to participate in a market research study.
- The amount of Scholarship Points "Points" that can be earned will be stipulated in each invitation.
- Member acknowledges that he/she may not be eligible to receive invitations to certain surveys. If Member is sent or receives an invitation in error, ENI reserves the right to debit the Member’s account for the Scholarship Points "Points" erroneously credited.
- On occasion, ENI, Clients and Sponsors may allow Member to earn additional Scholarship Points "Points" via special earning opportunities.
- The amount of Scholarship Points "Points" offered for special earning opportunities will be stipulated in each special earning opportunity announcement.
- Member must comply with the terms of each special earning opportunity to earn any such additional Scholarship Points "Points".
- On occasion, ENI, Clients and Sponsors may communicate special earning opportunities via direct mail to Members who have not requested to be excluded from direct mail communications. Members who are sent communications via direct mail will receive Scholarship Points "Points" in their Member account.
- Member acknowledges that he/she may not be eligible to receive certain earning opportunities. If Member is sent or receives a special earning opportunity in error, ENI reserves the right to debit the Member's account for the Scholarship Points "Points" erroneously credited.
- Note to Canadian Members: Scholarship Points Clients and/or Sponsors may, from time to time, exclude Canadian members from receiving certain types of earning opportunities and personalized information due to residency restrictions, which limit participation only to U.S. residents.
Section 6) Participation in Surveys and Special Earning Opportunities
- Member's Participation in ENI, Client and Sponsor Surveys Rights & Responsibilities
- Member's participation in ENI, Client and Sponsor surveys is solely at Member’s discretion. ENI will not be in any way responsible for personally identifiable information that Member may voluntarily share with Client or Sponsor in the course of answering a survey or participating in a special earning opportunity.
- Member is responsible for complying with any rules or terms set forth by Client or Sponsor.
- Member's Participation in ENI, Client and Sponsor Special Earning Opportunities Rights & Responsibilities
- Member's participation in ENI, Client and Sponsor special earning opportunities is solely at Member’s discretion. ENI shall not be a party to, or in any way responsible for, any contractual arrangements or other transactions that occur between Member, on the one hand, and a Client or Sponsor, on the other hand.
- Member is responsible for complying with any rules or terms set forth by Client or Sponsor.
- ENI's Participation in Client or Sponsor Surveys and Special Earning Opportunities Rights & Responsibilities
- ENI assumes no liability, obligation or responsibility for, and makes no warranty with respect to, any content provided by ENI's Clients or Sponsors, or any part thereof.
- ENI assumes no liability, obligation, or responsibility for the transactions between Member and Client or Sponsor, including but not limited to:
- Fulfillment and timeliness of delivery of Client or Sponsor goods or services.
- Security associated with credit card or other transactions directly initiated by Member with Client or Sponsor.
- Maintenance of privacy of any personal information given by Member directly to Client or Sponsor.
- Member agrees that ENI shall not be responsible or liable for any loss or damage of any sort incurred as the result of any dealings between Member and Clients or Sponsors, or as the result of the presence of such Clients or Sponsors on this Web site or via the Scholarship Points Services.
Section 7) Redeeming Scholarship Points "Points" - The Sweepstakes!
The Scholarship Points Sweepstakes occur on the first of every month or the next regular business day thereafter. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. Membership in ScholarshipPoitns.com is required to earn points and is open to any student planning on attending a college or university in the United States. Entry of points into drawings or free college scholarships is limited to high school seniors, college students or graduate students who will attend college at least half time in the upcoming academic year. You may enter the Scholarship Points Sweepstakes by completing the online registration form with your name, address, city, state, zip, phone number and e-mail address at www.scholarshippoints.com. Registrations are limited to one per person. Each quarter, three (3) scholarships will be randomly awarded to a Scholarship Points members Prize may not be substituted, transferred or exchanged. No substitution or cash equivalent of prize permitted. Tax liability, if any, is the sole responsibility of the winner.
- Entry. The Scholarship Points Sweepstakes ("Sweepstakes") is sponsored by ENI. "You" means the person who registers as a member. Submission of your registration is your full unconditional acceptance of and agreement to these Official Rules. Entry constitutes your permission (or your parents' permission if you are under the age a majority) to release the entry and all information contained therein to Sponsor. One Point equals one Entry.
- Void Where Prohibited. The Sweepstakes is void where prohibited by law, regulation or ordinance. Residents of Rhode Island are not eligible to enter. All federal, state and local laws and regulations apply.
- Eligibility. Sweepstakes is open only to legal residents of the United States who are at least high school seniors and will attend college at least half time in the 2008-2009 school year. Entrants must be 13 years of age or older. Employees, officers or directors of ENI, its affiliates and subsidiaries, and parents, spouses, and members of such employees' households are ineligible to participate. In order to be eligible to win, ENI must have a valid mailing address, e-mail address and telephone number on file on the date of the drawing. If you change your mailing address, e-mail address or telephone number after you register, log on to www.ScholarshipPoints.com to update your profile. No purchase necessary.
- Effective date of entries. Entries will be effective the day the registration is received either at www.ScholarshipPoints.com. All entries become the exclusive property of ENI, and will not be acknowledged or returned. You are responsible for any costs of entering, including any online access charges or postage.
- Selection of winner; release. The winner will be determined by random drawing from all eligible entries received by midnight MT on the last day of the month. The winner must agree to the use of his or her name, voice, and likeness for the purpose of advertising, trade or promotion by ENI without further compensation, unless prohibited by law.
- Notification of winner. The Sweepstakes winner will be notified by telephone call and e-mail after each drawing. All decisions are final and binding. Any prize notification returned as unreachable, undeliverable or otherwise invalid will result in disqualification and a new winner will be selected. The winner must contact Sponsor as instructed in the notice to the winner and must sign an Affidavit of Eligibility and Liability Release and, where legal, a Publicity Release within 7 days after the date the notice is sent in order to claim his or her prize. Failure to complete these steps within that 7-day period will disqualify the winner and a new winner will be selected from eligible entries in a commercially reasonable period. No exceptions will be made to this rule. Sponsor is not responsible for and will not be liable for late, lost, misdirected or unsuccessful efforts to notify the winner. The name of the prizewinner will also be posted at www.ScholarshipPoints.com.
- Odds of winning. The odds of winning will be determined by the number of eligible entries received.
- Disputes. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the name and address provided on the registration form.
- NOTICE: Any attempted fraud or forgery with respect to entries will result in prosecution to the fullest extent of the law. Any attempted damage to any Web site or attempt to affect the legitimate operation of the Sweepstakes may result in prosecution under criminal and civil laws at Sponsor's sole discretion.
- Prize. Each month, one (1) scholarship will be randomly awarded to a Scholarship Points member as follows: $1,000. Additional promotional scholarships may be offered from time to time and will be announced on the ScholarshipPoints.com website. All prizes will be awarded. Each prize is one check issued by ENI, co-payable to the winner and the college the winner will attend, and mailed to the college the winner attends in the following school year. All prizes will be awarded. Winner is responsible for all taxes. Prize is not transferable.
- Other conditions. Sponsor, its agents and representatives, its parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and legal advisors are not responsible for and will not be liable for: (I) any condition caused by events beyond the control of Sponsor that may cause the Sweepstakes to be disrupted or corrupted; (II) failed, incomplete, garbled or delayed computer transmissions; (III) late, lost, damaged, misdirected, incomplete, unintelligible or postage due entries; (IV) electronic, hardware or software program, network, Internet or computer malfunctions, failures or difficulties of any kind; (V) any injuries, losses or damages of any kind arising in connection with or as a result of the Sweepstakes, acceptance, possession or use of the name Scholarship Points Sweepstakes or from participation in the Sweepstakes; or (VI) any printing or typographical error in any material associated with the Sweepstakes. Sponsor reserves the right (subject to required governmental approvals, if any) to terminate or cancel the Sweepstakes without prior notice at any time, or modify the Sweepstakes due to interference with the proper operation of the Sweepstakes or due to technical corruption.
- Indemnification. You agree to release and hold Sponsor, its employees, officers, directors, shareholders, agents, representatives, parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Sweepstakes or resulting from acceptance, possession or use of the name Scholarship Points Sweepstakes, including without limitation, personal injury, death and property damage, and claims based on publicity rights, defamation or invasion of privacy.
- Resolution of disputes. Except where prohibited by law, as a condition of participating in this Sweepstakes you agree that (I) any and all disputes and causes of action arising out of or connected with the Sweepstakes or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest Lincoln, Nebraska; (II) the Federal Arbitration Act will govern the interpretation, enforcement and all proceedings at such arbitration; and (III) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering the Sweepstakes), and you further waive all rights to have damages multiplied or increased.
Choice of law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you and Sponsor in connection with the Sweepstakes, will be governed by, and construed in accordance with, the substantive laws of the State of Massachusetts without regard to Massachusetts choice of law provisions.
Children's Online Privacy Protection Notice
We do not knowingly collect, maintain or use personal information from our websites about children under age 13. If a child whom we know to be under age 13 sends personal information to us online, we will only use that information to respond directly to that child, notify parents or seek parental consent, and will delete such information from our records. If we change our practices in the future, we will obtain prior, verifiable parental consent before collecting any personally identifiable information from children under the age of thirteen. We are not, however, responsible for the collection and use of information by companies or individuals unaffiliated with us whose websites may contain links to ours, including vendors where you may shop.
Because we do not collect any personally identifiable information from children under the age of thirteen, we also do not knowingly distribute such information to third parties. We do not knowingly allow children under the age of thirteen to publicly post or otherwise distribute personally identifiable contact information via our site.

Section 8) Expiration of Scholarship Points "Points"
- Points are earned on an ongoing basis starting from the date of registration. Points will accrue until used.
- All Scholarship Points "Points" earned during any month will be added to the members totals points earned. Special awards may be granted on a periodic basis to members with the most overall points accrued.
- At ENI’s sole discretion, ENI may choose to waive or defer enforcement of the expiration of Member’s Scholarship Points "Points".
Section 9) Proprietary Rights to Content
- Member agrees that title, ownership rights, and other intellectual property and proprietary rights in the Scholarship Points Service shall remain in ENI and/or its licensors and suppliers.
- Member acknowledges that the content of this Web site and the Scholarship Points Service - including but not limited to text, sound, photographs, graphics, software or other material contained in either ENI, Sponsor, Client or Reward Partner electronic mail communications, services or software - is copyrighted by ENI and/or its licensors and suppliers under United States and international copyright laws, is subject to other intellectual property and proprietary rights and laws, and is owned by ENI or its licensors and suppliers. Such content may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without the prior written permission of ENI and its applicable licensors or suppliers, with the sole exception that one copy of any necessary software that may be provided by ENI, its Clients, Sponsors or Reward Partners may be downloaded onto a single computer for Member's personal, noncommercial use. Member must abide by all copyright notices, information, or restrictions contained in or attached to any such content.
- Member may use ENI's, Sponsor's, Client's or Reward Partners’ content, service or software only as expressly authorized by ENI, the Sponsor, the Client or the Reward Partner.
- Member acknowledges and agrees that the Scholarship Points Service and any necessary software provided by ENI or its Sponsors, Clients, Reward Partners or other third-party partners and used in connection with the Services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. ENI grants Member a personal, nontransferable and nonexclusive right and license to use the object code of any such Software on a single computer and solely in connection with Member's use of this Web site and the Scholarship Points Service; provided that Member does not (and does not allow any third party to) otherwise copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, rent, lease, loan, sublicense, grant a security interest in, or otherwise transfer any right in any such Software. Member agrees not to modify any such Software in any manner or form, or to use modified versions of any such Software, including (without limitation) for the purpose of obtaining unauthorized access to the Scholarship Points Service. Member agrees not to access the Scholarship Points Service by any means other than through the interface that is provided by ENI for such use.
Section 10) Member Conduct
- Member agrees not to use the Scholarship Points Service or this Web site to:
- Violate any local, state, national or international law;
- Stalk, harass, or harm another individual;
- Collect or store personal data about other Members;
- Impersonate any person, or otherwise misrepresent Member's identity;
- Interfere with, disrupt or violate the terms and conditions and operating rules of the Scholarship Points Service or servers or networks connected to the Scholarship Points Service; or disobey any requirements, procedures, policies, or regulations of such networks;
- Interfere with another Member's use of the Scholarship Points Service;
- Attempt to gain unauthorized access to the Scholarship Points Service, or to other accounts, computer systems, or networks connected to the Scholarship Points Service;
- Transmit any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive features;
- Use the Scholarship Points Service to conduct any activity or solicit the performance of any illegal activity or other activity that infringes the rights of others;
- Resell, barter, trade, auction or otherwise generate income by providing access to the Scholarship Points Service to others.
- Member agrees to provide truthful and well considered answers to all survey questions.
- Scholarship Points reserves the right to withhold awarding Scholarship Points "Points" to Member if Member’s survey question responses are judged, by ENI at its sole discretion, to be untruthful or not well considered.
Section 11) Termination
- This Member Agreement commences upon Member's completion of the registration process. This Member Agreement, and your account, may be terminated as follows:
- By Member. Member may terminate membership in the Scholarship Points Service with or without cause at any time. Member's termination of the Scholarship Points Service is effective upon Member terminating his/her membership on this Web site.
- By ENI. ENI may terminate this Member Agreement, Member's password, account or use of the Services, and remove and discard any Member content in its sole discretion, effective immediately and without prior notice, for any reason, including, without limitation, failure to provide accurate Registration Data; lack of use; sale, resale, auction, barter, or trade of Scholarship Points "Points"; or if ENI believes that Member has violated or acted inconsistently with the letter or spirit of this Member Agreement.
- If Member sells, resells, auctions, barters or trades Scholarship Points "Points", or rewards obtained with Scholarship Points "Points", ENI reserves the right to use Members’ name, address, e-mail address, and/or telephone number to halt the improper alienations of Scholarship Points "Points" and/or rewards. This includes, but is no limited to, contacting online auction services to discontinue auctions for Scholarship Points "Points" and/or rewards.
- Effect of Termination. Upon termination by either Member or ENI:
- ENI may immediately deactivate or delete Member's account and all related information and files and/or bar any further access to such files or the Scholarship Points Service.
- Member's right to use the Scholarship Points Service ceases immediately.
- Member agrees to forfeit any unredeemed Scholarship Points "Points" upon termination.
- Should Member object to any of the terms or conditions of this Member Agreement or any subsequent modifications thereto or become dissatisfied with the Scholarship Points Service, Member's only recourse is to:
- Immediately discontinue use of the Scholarship Points Service, and
- Properly terminate membership in the Scholarship Points Service (see item (a)(i) above).
- Member agrees that ENI shall not be liable to Member or to any third party for any termination of Member's account or Member's access to the Services.
- Survival. The provisions of Sections 3b, 4, 6c, 9, 11, 12 and 14 through 22 shall survive any termination of this Member Agreement.

Section 13) Modifications to Terms & Conditions
- ENI reserves the right to modify this Member Agreement and Privacy Policy at any time without prior notice. It is a Member's responsibility to review from time to time and stay familiar with this Member Agreement and Privacy Policy. While ENI reserves this right, ENI will attempt to notify Member of such changes via e-mail and/or by posting such changes on the Scholarship Points Web site.
- Scholarship Points may discontinue, add to or revise any or all aspects of the Scholarship Points Service in its sole discretion and without notice, including access to any support services, publications and other products or services ancillary to the Scholarship Points Service or membership. Sponsors and Reward Partners may be added, deleted, changed or modified at any time in ENI’s sole discretion.
- If Member objects to any changes, Member's sole recourse shall be to cease using the Scholarship Points Service. Member's continuing use of the Scholarship Points Service after notification of any such change(s) constitutes conclusive evidence of Member's acknowledgement of the modification to this Member Agreement and Member's agreement to be bound by such change(s).
- Any new or additional features of the Scholarship Points Service shall be subject to this Member Agreement
Section 14) Disclaimer of Warranties
- Member agrees that use of the Scholarship Points Service and this Web site is solely at the risk of the Member.
- The Scholarship Points Service and all services offered therein are provided on a strictly "as is" and "as available" basis, without representation or warranty of any kind.
- Neither ENI nor its third-party partners make any warranty, express or implied:
- With regard to any products, services, or gifts obtained by Members through the Scholarship Points Service or through Clients, Sponsors or Reward Partners.
- That the Scholarship Points Service will meet Member's requirements.
- That the Scholarship Points Service will be uninterrupted, timely, free of errors or without defects.
- As to the results a Member may obtain by using the Scholarship Points Service.
- As to the accuracy or reliability of any information obtained via the Scholarship Points Service.
- ENI expressly disclaims any and all express, implied and statutory warranties regarding the Scholarship Points Service, information, services or goods provided by or through the Scholarship Points Service (other than those incapable of exclusion under the laws applicable to this Member Agreement), including, but not limited to:
- The implied warranty of merchantability;
- The implied warranties of fitness for a particular user or purpose; and
- Noninfringement.
- ENI cannot and shall not be liable or responsible for those guarantees, warranties and representations, if any, offered by Clients, Sponsors, Reward Partners, manufacturers of merchandise or suppliers of services.
- No advice or information, whether oral or written, obtained by a Member from ENI or via the Scholarship Points Service shall create any warranty not expressly made herein.
Section 15) Limitation of Liability
- Member understands that all goods and services offered through the Scholarship Points Service are offered by third parties, and that ENI does not operate, control or endorse any information, goods or services in any way.
- Member understands that Clients, Sponsors and Reward Partners may place restrictions on the use of goods and services offered through the Scholarship Points Service.
- Neither ENI nor its officers, directors, stockholders, subsidiaries, employees, agents, licensors, affiliates, or other third-party providers shall be held liable for any damages or losses, whether direct, indirect, incidental, special, consequential or exemplary damages resulting from:
- The use or inability to use the Scholarship Points Service;
- The cost of procurement of substitute goods or services;
- Any transaction entered into or through the Scholarship Points Service;
- The reliance on or use of any information, goods, services or merchandise provided on the Scholarship Points Service;
- Unauthorized access to or alteration of Member's transmissions or data;
- Statements or conduct of any third party;
- Any claim attributable to errors, omissions or other inaccuracies in the Scholarship Points Service and/or materials or information retrieved through the Scholarship Points Service; or
- Any other matter relating to the Scholarship Points Service or this Member Agreement.
- The above limitation is applicable even if ENI or its authorized representatives have been advised of (or know or should know of) the possibility of such damages.
- Because some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages, some of the above limitations and disclaimers may not apply to Member. Member's rights vary from jurisdiction to jurisdiction. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty, the scope and duration of such warranty shall be the minimum permitted under such applicable law.
- Member acknowledges and agrees that ENI neither endorses the contents of any electronic mail or Internet communications nor shall be held responsible or liable for:
- The accuracy of material contained in electronic mail, Internet, or other communications.
- Any infringement of third-party intellectual property rights arising from the electronic mail, Internet, or other communications.
- Any fraud or other crime facilitated by the electronic mail, Internet, or other communications.
- Member agrees that ENI is not liable to Member or to any third party for any modification, suspension or discontinuance of any part or all of the Scholarship Points Service, including changes or discontinuances of service from particular providers to the Scholarship Points Service, which may affect the amount of the Scholarship Points "Points" offered or the accrual of Scholarship Points "Points".
Section 16) Laws and Arbitration
- The Member Agreement and any dispute of any kind that arises with ENI shall be governed by the laws of the State of Massachusetts without regard to the principles of conflicts of laws.
- The Member Agreement constitutes the complete, final and exclusive understanding between ENI and Member relating to the subject matter hereof and governs Member's use of the Scholarship Points Services, superseding all prior or contemporaneous understandings, agreements and/or communications with respect to such subject matter.
- Member may be subject to additional terms and conditions that may apply when Member obtains or uses third-party content, third-party software or goods and services provided by or through Clients, Sponsors, Reward Partners or other third-party partners of ENI.
- If any provision(s) of the Member Agreement is (are) held by a court of competent jurisdiction to be invalid, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, and all other provisions shall remain in full force and effect. ENI and Member agree that all lawsuits or proceedings arising out of this Member Agreement; the enforceability, interpretation, or questions concerning the arbitration provisions set out below; or out of Member’s use of the Scholarship Points Services shall be brought in the State or Federal Courts located in Massachusetts, and the parties hereby irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose.
- ENI's failure to exercise or enforce any right or provision of this Member Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by ENI in writing.
- Member agrees that notwithstanding any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or this Member Agreement must be filed within one (1) year after the claim or cause of action arose or be forever barred.
- Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Member Agreement.
- ENI may assign its rights and delegate its duties under this Member Agreement to any party at any time without notice to Member.
- All headings in this Member Agreement are for convenience only and have no legal effect.
- Any dispute arising under or in respect of this Agreement may, at the election of either Member or ENI, be resolved through binding arbitration in Dallas County, Massachusetts, in front of a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association. ENI agrees to pay all arbitrator fees.
- In the event Member or ENI elects to resolve any claim or dispute between them by arbitration, neither Member nor ENI shall have the right to litigate that claim in court or to have a jury trial on that claim. Even if all parties have opted to litigate a claim in court. Member or ENI may elect arbitration with respect to any claim made by a new party or any new claims later asserted in that lawsuit, and nothing undertaken therein shall constitute a waiver of any rights under this arbitration provision.
- Neither Member nor ENI shall be entitled to join or consolidate claims in arbitration by or against other Members with respect to other accounts, bring mass or consolidated claims in arbitration, or arbitrate any claim as a representative or member of a class or in a private attorney general capacity.
- The arbitrator shall only have the authority to resolve individual disputes between Member and ENI.
- The Federal Arbitration Act (“FAA”) shall govern this provision. The arbitrator shall follow applicable substantive law to the extent consistent with the FAA, applicable statues of limitation, and shall honor all claims of privilege recognized at law.
- Arbitration proceedings are confidential, unless all Parties agree otherwise. Arbitration Orders and Awards are not confidential and may be disclosed by the Parties. A Party who improperly discloses confidential information shall be subject to Sanctions. The Arbitrator and Forum may disclose case filings, case dispositions, and other case information as required by a Court Order.
Section 17) Notice
Except as provided above with respect to modifications of this Agreement, ENI may deliver notices to Member by prepaid certified mail, return receipt requested at the address in ENI's database, or via electronic mail at the electronic mail address in ENI's database; any such notice shall be deemed effectively given upon delivery. Member may give notice to ENI by prepaid certified mail, return receipt requested at the following address: 15 Cottage Ave., Suite 501, Quincy, MA 02169, Attn: Legal Department, and any such notice shall be effective upon receipt.
Section 18) Links
The provision by ENI of a link to any other Web site or Internet location is for Member's convenience only and does not signify ENI's endorsement of such other site or location or its contents. ENI shall not be liable for any information, software or links found at any other Web site, Internet location or source of information, or for Member's use of such information, software or links.
Section 19) No Resale
Member agrees not to reproduce, duplicate, copy, barter, trade, auction, sell, resell or exploit for any commercial purposes, any portion of this Web site, the Scholarship Points Service, use of the Scholarship Points Service, Scholarship Points "Points", or access to the Scholarship Points Service. The Scholarship Points Service is provided for Member's personal, noncommercial use only.
Section 20) Indemnification
Member agrees to indemnify and hold harmless ENI and its subsidiaries, predecessors, successors, affiliates, officers, directors, employees, agents, licensors, suppliers, co-branders, third-party providers, Clients, Sponsors, Reward Partners or other partners, from and against any and all claims, losses, costs (including court costs), fees (including attorney's fees), damages and expenses that such parties may incur as a result of, due to, or arising out of the violation by Member (or anyone acting under Member's account or password) of this Member Agreement or the use or misuse of the Scholarship Points Service by Member (or anyone acting under Member's account or password), or the violation of any rights of another by Member (or anyone acting under Member's account or password).
Section 21) Use and Storage
Member acknowledges that ENI may establish general practices and limits concerning use of the Scholarship Points Service, including, without limitation, the maximum number of days that information, data, account history or other uploaded content will be retained by the Scholarship Points Service, the maximum disk space that will be allotted on ENI's servers on Member's behalf, and the maximum number of times (and the maximum duration for which) Member may access the Scholarship Points Service in a given period of time. Member acknowledges that ENI reserves the right to terminate accounts that are inactive for an extended period of time, as determined by ENI in its sole discretion. Member further acknowledges that ENI reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice. Member agrees that ENI has no responsibility or liability for the deletion or failure to store any information or data and other communications or other content maintained or transmitted by or through the Scholarship Points Service.
Section 22) Trademark Information
Scholarship Points® and the Scholarship Points logo are trademarks of ENI. Other ENI trademarks, as well as any third-party trademarks, service marks, logos and trade names appearing on this Web site or on or through the Scholarship Points Service, are the property of their respective owners.
